Terms & Conditions

1. The service

ProLicensor is subscription software (SaaS) that helps dental and healthcare practices organize their software licenses, renewal dates, and compliance documents in a secure, encrypted vault, and sends renewal reminders. ProLicensor is a record-keeping tool only. It is not an IT company, managed service provider (MSP), backup or hosting service, and it does not provide installation, on-site support, or network management, and it does not provide legal, accounting, tax, IT, or compliance advice.

2. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use ProLicensor. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity that occurs under your account. Notify us promptly at support@prolicensor.com of any unauthorized use.

3. Subscriptions, billing & trials

• Paid memberships are billed in advance on a recurring monthly or annual basis per location, at the prices shown at checkout. A free plan is available for a single location.
• By subscribing, you authorize us and our payment processor to charge your payment method on each renewal until you cancel.
• A 14-day free trial may be offered on paid subscriptions. Unless you cancel before the trial ends, your subscription converts to a paid plan automatically.
• Taxes may apply. Prices may change with at least 30 days’ notice; changes take effect on your next billing cycle.
• Cancellation, refunds, and chargebacks are governed by our Refund & Cancellation Policy.

4. Marketplace & third-party software

Our member marketplace surfaces discounted pricing on genuine third-party software through vendor partnerships. Any third-party software you obtain is licensed to you by its respective vendor and governed by that vendor’s own license terms — not by these Terms. We are an independent software provider and are not affiliated with, or an agent of, those vendors unless stated. Marketplace prices reflect member discounts and are subject to change or availability.

5. Acceptable use

Your use of ProLicensor must comply with our Acceptable Use Policy. We may suspend or terminate accounts that violate it.

6. Customer data, privacy & HIPAA

You retain ownership of the data you enter or upload. Our handling of personal data is described in our Privacy Policy. If you are a HIPAA-covered entity and intend to store protected health information, you must request and execute a Business Associate Agreement (BAA) with us first; contact support@prolicensor.com.

7. Intellectual property

ProLicensor and its software, branding, and content are owned by us or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. You may not copy, resell, reverse-engineer, or create derivative works from the service.

8. Disclaimers

The service is provided on an “as is” and “as available” basis without warranties of any kind, to the fullest extent permitted by law. While we implement industry-standard security including AES-256 encryption, no method of storage or transmission is 100% secure, and we do not warrant that the service will be uninterrupted or error-free. ProLicensor is a tool to assist with record-keeping and does not guarantee regulatory compliance.

9. Limitation of liability

To the maximum extent permitted by law, ProLicensor and A4L will not be liable for any indirect, incidental, special, or consequential damages, or for lost data or profits. Our total aggregate liability for any claim relating to the service will not exceed the amount you paid us for the service in the 12 months preceding the claim.

10. Termination

You may cancel at any time as described in the Refund & Cancellation Policy. We may suspend or terminate your access for violation of these Terms or non-payment. On termination, you may export your data for a reasonable period, after which it may be deleted.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with an updated date and, where appropriate, communicated by email. Continued use after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. The exclusive venue for disputes is the state or federal courts located in Florida.
